Key Things to Know Before Buying a Korean ADR
- Sponsored vs unsponsored: Sponsored NYSE/NASDAQ ADRs (PKX, KB, SHG, etc.) are issued through formal company agreements. Unsponsored OTC ADRs (SSNLF, HXSCL, etc.) were created by depositary banks without the company's involvement — expect lower liquidity and limited disclosures.
- ADR ratio: Each ADR represents a different number of ordinary shares (KEPCO 0.5:1, Woori 3:1, etc.). You must apply both the FX rate and the ADR ratio for accurate price comparison.
- Dividend tax: Under the US-Korea treaty, 15% Korean withholding tax applies; offset with a US foreign tax credit (Form 1116). Depositary fees ($0.01–$0.05/share) are auto-deducted at dividend payment.
- Liquidity and spread: OTC ADRs trade thinly — market orders can result in significant slippage. Always use limit orders.
